The business practice represents a broad spectrum of enterprises principally located in Northeast Ohio. The practice includes representation of manufacturing businesses, condominium developers and condominium associations, computer manufacturers (both hardware and software), Internet companies, manufacturer representatives, and many medium to smaller business enterprises of various types.


The business group counsels the owners and managers of small and medium-sized businesses in a wide range of matters from the organization of the enterprise, to its operation, and through trans-generational transfers or other reorganizations. Our attorneys will help guide entrepreneurs through the maze of local, state and federal rules and regulations regarding the organization of sole proprietorships, partnerships, corporations, and limited liability companies, including the establishment of realistic business and economic goals. We will help you assemble a team of professionals to counsel you with all aspects of your business, including accountants, insurance brokers, risk managers, and such other professionals as the business requires. The members of the business group have extensive experience in counseling businesses in day-to-day, as well as strategic operational matters, such as employment issues; tax issues; preparation and implementation of necessary corporate agreements, such as purchase orders, terms and conditions, and the like; capitalization, including the intricacies of borrowing from financial institutions or from the market; obtaining equity capital through private placements and otherwise; computer management; expansion of business by acquisition or otherwise; reorganization of business by acquisition, merger, or consolidation; and planning for the orderly transfer of business through estate planning and shareholder agreements. The business group will also work with the litigation group in managing business disputes that develop into litigation and situations suitable for alternative dispute resolution, such as arbitration and mediation.
